Introduction
These Terms and Conditions outline the agreement between Fasoze Digital (Provider) and you (Client) for the delivery of Search Engine Optimization (SEO) services. By engaging Fasoze Digital for SEO services, the Client acknowledges and agrees to comply with these Terms and Conditions.
Services
The Provider agrees to carry out SEO services, which may include but are not limited to keyword research, on-page optimization, content creation (if required), link building, and performance metric reporting. The exact services to be delivered will be specified in the monthly report, sent via email or made available in the client dashboard.
Client Obligations
The Client agrees to collaborate with the Provider by granting access to its website, digital assets, and any other required information. The Client also agrees to provide timely feedback and make prompt decisions to support the effective delivery of the provider’s services.
Payment
SEO services are billed monthly. Invoices must be paid within 5 days of issue. Services may be interrupted if payment is delayed.
Term and Termination
These Terms and Conditions will become effective once the first payment is made to Fasoze Digital and will continue until terminated by either party with a 30-day written notice. Either party may terminate the agreement immediately for cause if the other party breaches any of its material responsibilities or obligations and fails to rectify that breach within a reasonable timeframe.
Intellectual Property
All work products developed by the Provider as part of the SEO services, including reports, analyses, and digital content, will remain the property of the Provider until payment is made in full, at which point ownership will transfer to the Client.
SEOWizard’s Rights & Client Agreement
You consent to Fasoze Digital using publicly available graphics, website visuals, non-sensitive performance data (such as anonymized analytics or charts), and other non-confidential elements from your project as part of their portfolio or in marketing materials. This usage will never include proprietary or sensitive business information. Fasoze Digital also reserves the right to display its logo and/or a link to its homepage or relevant service pages in the footer of your website or on a designated “Credits” page.
Confidentiality
Both parties agree to keep all proprietary information exchanged during the course of the agreement confidential and not to disclose it to any third party without the prior written consent of the disclosing party.
Limitation of Liability
The Provider will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business interruption. The Provider’s total liability under these Terms and Conditions shall not exceed the total fees paid by the Client.
Any disputes arising out of or in connection with these Terms and Conditions will be resolved through binding arbitration in accordance with the rules of an agreed-upon arbitration association.
1. Introduction
These Terms and Conditions govern the provision of web design services provided by Fasoze Digital to you. By engaging Fasoze Digital for web design services, you agree to be bound by these Terms and Conditions.
2. Services
Fasoze Digital will provide web design and development services as described in the project proposal and any subsequent agreements. Services may include, but are not limited to, designing the layout, limited coding, and integrating content management systems such as WordPress, Shopify, Weebly etc. The Provider’s responsibilities are limited to configuring the CMS platform, customizing themes, and integrating approved plugins or apps. Ownership of the completed website will transfer to the Client upon full payment, excluding any third-party themes, plugins, or licenses used within the project.
3. Client Obligations
You agree to cooperate with Fasoze Digital by providing necessary materials, including text, images, and other information as needed, and to respond to requests for feedback or approvals promptly. You confirm that you have the rights to use any content you provide and indemnify Fasoze Digital against any claims arising from the use of such content.
4. Project Timeline and Deliverables
The project timeline and specific deliverables will be outlined in the project proposal. Fasoze Digital will endeavor to meet all agreed-upon deadlines, subject to your timely cooperation.
5. Payment
Payment terms will be specified in the project proposal. Typically, a deposit is required to commence work, with subsequent payments due at project milestones. Final payment is due upon project completion before the final website is transferred to you or goes live. The project remains the property of Fasoze Digital until the final payment is made.
6. Intellectual Property
Upon receipt of full payment, you will own the final website design and underlying coding. However, Fasoze Digital retains the right to use any designs, layouts, codes, and pre-existing templates that were not specifically commissioned and paid for as part of the project. This includes all coded elements of the website, extensions, special functionalities, and any other website modules not specified in the initial agreement.
7. Fasoze Digital’s Rights & Client Agreement
You consent to Fasoze Digital using graphics and other elements from your web content as samples in their portfolio and for use in other projects. Fasoze Digital reserves the right to display its logo and/or a link to its homepage or relevant service pages in the footer of your website or on a designated “Credits” page.
8. Revisions and Acceptance
You will have the opportunity to review and request revisions to the website design. The project proposal will specify that two revisions are included with the project. Once you accept the final version of the website, or once the included revisions have been exhausted, any further revisions may be subject to additional charges.
9. Termination
Either party may terminate the agreement with written notice if the other party breaches these Terms and Conditions and fails to correct the breach within a reasonable timeframe. In case of termination, you are responsible for payment for work completed to date.
10. Limitation of Liability
The Fasoze Digital will not be liable for any indirect, special, or consequential damages arising out of or in connection with the services provided. Fasoze Digital total liability under these Terms and Conditions will not exceed the total fees paid by you under the agreement.
11. Warranty
The website offers a lifetime warranty provided that you subscribe to our website maintenance service and do not perform self-updates or self-upgrades.
12. Agreement
By engaging Fasoze Digital for web design services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
This contract represents the complete and exclusive agreement between you and Fasoze Digital concerning all related matters.
